1. Acceptance of Terms

By accessing and using AgentOS (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. AgentOS reserves the right to modify these terms at any time. Your continued use of the Platform after modifications constitutes acceptance of the updated terms.

2. Service Description

AgentOS is a software-as-a-service (SaaS) platform designed for real estate professionals to manage transactions, track compliance activities, and organize business operations. The Platform provides tools for transaction management, fair housing compliance documentation, agent coordination, and reporting capabilities.

3. Fair Housing Compliance

AgentOS is designed to support fair housing compliance by maintaining records of platform activities including transaction timestamps, task completion tracking, agent assignments, and seller report activity. These records can support fair housing audits by providing timestamped documentation of user actions and decisions. You acknowledge that fair housing compliance requires adherence to federal, state, and local fair housing laws, and that AgentOS provides tools to document your compliance efforts, but does not guarantee compliance with applicable law. Enhanced audit features specifically designed for regulatory reporting are in development and will be detailed in future policy updates.

4. Data Retention

AgentOS retains user data for up to 30 days following account deletion to allow for account recovery and transition purposes. After this period, user data will be permanently deleted. Transaction data, communications, and activity logs are retained within this general data retention policy. Fair housing compliance records and audit logs are retained according to this general data policy. Users should maintain independent backups of critical information before account deletion.

5. Service Level Agreement

AgentOS commits to maintaining 99.5% uptime for the Platform, calculated monthly. This commitment applies to core platform functionality accessed through Vercel and Supabase infrastructure. Services dependent on Edge Functions, including but not limited to seller report generation and transactional email delivery, are excluded from the uptime calculation. Uptime excludes: (a) planned maintenance windows, (b) issues caused by third-party services, (c) network outages, (d) user actions or configurations, and (e) forces beyond AgentOS's reasonable control. Users with critical dependencies on seller report or email functionality should maintain backup systems.

6. Third-Party Integrations

AgentOS may integrate with third-party services for email delivery, data storage, and reporting functionality. You acknowledge that these integrations are subject to third-party terms of service and privacy policies. AgentOS is not responsible for third-party service outages, data loss, or non-compliance with third-party terms.

7. Intellectual Property

AgentOS retains all rights to the Platform, including all code, design, features, and functionality. You retain ownership of data you upload to the Platform. By using AgentOS, you grant AgentOS a license to use your data as necessary to provide the Platform and to aggregate anonymized data for service improvement.

8. Limitation of Liability

EXCEPT AS PROVIDED IN THIS SECTION, AGENTOS EXCLUDES LIABILITY FOR THE FOLLOWING CATEGORIES OF DAMAGE: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) LOST PROFITS, LOST REVENUE, OR LOST DATA; (C) BUSINESS INTERRUPTION; (D) COST OF SUBSTITUTE GOODS; (E) DIMINISHED VALUE; AND (F) ANY OTHER UNFORESEEABLE OR INDIRECT DAMAGES, EVEN IF AGENTOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CARVEOUTS TO EXCLUSION: The exclusions in this section do not apply to: (i) gross negligence or willful misconduct by AgentOS; (ii) fraud or intentional misrepresentation; (iii) violations of fair housing law; or (iv) breaches of data protection obligations that result in unauthorized access to personal data.

9. Warranties

AgentOS provides the Platform on an "as-is" basis. AgentOS disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AgentOS does not warrant that the Platform will be uninterrupted or error-free.

10. Indemnification

You agree to indemnify AgentOS from any claims arising from: (a) your use of the Platform; (b) your violation of these terms; (c) your violation of applicable law; or (d) infringement claims related to data you upload to the Platform.

11. Billing

Billing terms are set forth in the applicable service plan agreement. Payment is due upon invoice. Failure to pay invoices may result in service suspension.

12. Termination

Either party may terminate this agreement with written notice. Upon termination, your access to the Platform will be revoked. AgentOS will retain the right to retain data according to the data retention policy outlined in Section 4.

13. Governing Law

These Terms of Service are governed by the laws of North Carolina, without regard to conflicts of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in North Carolina.

14. Entire Agreement

These Terms of Service, together with the Privacy Policy and any service plan agreement, constitute the entire agreement between you and AgentOS regarding your use of the Platform.

15. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Amendments

AgentOS may amend these Terms of Service from time to time. Amendments become effective upon posting to the Platform. Your continued use of the Platform after amendments are posted constitutes acceptance of the amended terms.
